L’Oréal’s ambition is to make employee shareholding more widely available by giving you the opportunity to invest in L’Oréal shares at your own pace1.
L’Oréal is again offering you the possibility to become involved in the Group’s development by becoming a shareholder, via the Employee Shareholding Fund (FCPE) "L’Oréal Employee Share Plan".
The Employee Shareholding Fund "L’Oréal Employee Share Plan" is an investment fund reserved for the Group’s employees who want to invest in L’Oréal shares.
1Future share offerings will be subject to the prior approval of the company’s shareholders and its Board of Directors, to the authorization of the relevant authorities, notably the French AMF (Autorité des Marchés Financiers), to the completion of the required procedures with employee representatives, and to market and economic conditions. The offered conditions may vary from year to year.
WHO CAN PARTICIPATE?
All employees with 12 months of consecutive employment in a L’Oréal Group company as of 25 June 2025 and who are still employed on 25 June 2025.

A 20% discount
The reference price is the average opening price of the L’Oréal share in the stock market between 9 May and 5 June 2025 and will be fixed on 6 June 2025.

Payment of possible dividends
Possible dividends paid by L’Oréal will be automatically reinvested in the "L’Oréal Employee Share Plan" of the FCPE, thereby increasing the value of your units. These dividends will be increased by 10% after two years of holding registered shares via the FCPE.

(1) By salary deduction over 10 months starting in August 2025, (2) Wire transfer or (3) Salary deduction AND Wire transfer, in which case the amount payable by Wire transfer is 20% of the total subscription price payable

NOTE BEFORE INVESTING
ONCE YOU HAVE SUBSCRIBED TO THE PLAN, YOU WILL BE A L’ORÉAL SHAREHOLDER
As for any shareholder, the value of your investment will move in line with the L’Oréal share price, upwards and downwards; there is therefore a risk of capital loss.
THE VALUE OF YOUR INVESTMENT WILL VARY ACCORDING TO EXCHANGE-RATE FLUCTUATIONS.
As the L’Oréal share is listed in euro at the Paris stock market, the value of your investment will vary according to the exchange-rate fluctuations between the euro and your currency during the term of your investment.
YOUR INVESTMENT IS LOCKED IN FOR 5 YEARS
Your investment is locked-in until 30 July 2030, except in authorised cases of early release (these cases are mentioned in the “Local Supplement” document).
You will receive the shares offered under the matching contribution at the end of the lock-in period, on or around 30 July 2030, provided that you are still an employee of the L’Oréal Group on that date (unless otherwise specified in the “Local Supplement”).
How much can you invest?

Each employee undertakes to ensure that the amount of their investment does not exceed 25% of their estimated ross annual salary for 2025.
